As announced in January, Modiform has been preparing for a number of important financial transactions. Today, Modiform has successfully completed these strategic transactions, consisting of three components. Together, they represent an important milestone in further strengthening the organization.
Expansion of the shareholder base Mr. Van den Broek, CEO of Van Heugten Transport – Modiform’s logistics partner – has acquired a 20% minority stake in Modiform. He thereby joins as a shareholder alongside the two families that already held shares in the company.
Completion of refinancing Modiform has entered into an agreement with a new financier through a mortgage loan facility. This will fully repay the existing financing facilities with Rabobank.
Sale of land position Modiform has sold a plot of land in Scherpenzeel, the Netherlands, that is not actively used by the Modiform group, to Van Heugten Transport.
Healthy outlook for the future These transactions strengthen the strategic partnership with Van Heugten Transport. Combined with the recently announced decision to close the French Thomsen production site in mid-2026, these three steps create renewed financial headroom for future investments.
With a solid financing structure and a renewed management team, Modiform is purposefully working to build a strong and future-proof organization. In doing so, Modiform aims to once again be the trusted business partner for customers and suppliers, with an attractive product range, quality, service, and sustainable use of materials as its distinguishing factors. Together with customers, partners, and employees, Modiform is taking the next step toward a sustainable and healthy future.
